Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of DataWise SEO ("DataWise", "we", "us", "our"), including our marketing website at www.datawiseseo.com and our application at datawiseseo.com (together, the "Service"). DataWise SEO is operated by AI Ranking SpA, a company registered in Chile and represented by Nicolas Gorrono.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter a binding contract. DataWise is intended for business and professional use by SEO practitioners, marketers, agencies, and business owners. It is not a consumer product.

2. Accounts

You must provide accurate information when creating your account. You are responsible for all activity under your account and for keeping your credentials secure. Google OAuth is used to sign in; you can revoke our access to your Google account (including Search Console) at any time via your Google account settings.

3. Access via Skool Membership

Access to DataWise SEO is provided as a benefit of active paid membership in the AI Ranking community on Skool. All payments, refunds, trials, renewals, and cancellations are handled exclusively by Skool under Skool's own terms.

DataWise does not process payments directly and does not issue refunds under any circumstance. If your Skool membership lapses, is cancelled, or is terminated, your access to DataWise will end immediately.

4. Acceptable Use

You agree not to:

  • Scrape, crawl, or extract data from the Service by automated means.
  • Resell, sublicense, or redistribute DataWise data, reports, or exports to third parties, except as part of normal consulting work delivered to your own clients.
  • Reverse engineer the Service, circumvent rate limits, or attempt to gain unauthorized access.
  • Abuse the AI SEO assistant, including prompt injection, spam, or generating illegal or harmful content.
  • Use the Service to engage in illegal, infringing, or competitively harmful activity.

We reserve the right to throttle, suspend, or terminate accounts that violate these rules.

5. Intellectual Property

DataWise and its licensors own all right, title, and interest in the Service, including the platform, code, user interface, branding, and any aggregated or derived analytics. You retain ownership of the queries, inputs, uploaded data, and Google Search Console data you bring into the Service.

You grant us a limited, non-exclusive licence to process your data solely to operate, secure, and improve the Service. We grant you a non-exclusive, non-transferable right to use the Service during your active membership.

6. Third-Party Data and Services

SEO metrics (search volume, keyword difficulty, rank data, backlinks) are provided by DataForSEO. Google Search Console data is provided by Google under Google's terms. AI assistant responses are generated by third-party large language model providers (OpenAI, Anthropic, Google Gemini), and your prompts are transmitted to these providers for inference.

Third-party data may be inaccurate, delayed, or incomplete, and AI outputs may be inaccurate, biased, or hallucinated. DataWise is not liable for the accuracy, timeliness, or availability of any third-party data or service.

7. No Guarantee of SEO Results

DataWise does not guarantee any specific search engine rankings, organic traffic, conversions, or business outcomes. The Service provides data and insights to inform your decisions; it does not deliver results. SEO outcomes depend on many factors outside our control.

8. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, uptime, or uninterrupted operation. DataWise is a small independent project and does not offer any service level agreement (SLA).

9. Limitation of Liability

To the maximum extent permitted by law, DataWise's total liability arising out of or in connection with the Service is limited to the greater of (a) USD $100 or (b) the amount you paid directly to DataWise in the twelve months before the claim (which is typically zero, since billing is handled by Skool).

DataWise is not liable for any indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost rankings, lost traffic, lost data, or business interruption.

Nothing in these Terms excludes, restricts, or modifies any statutory rights or remedies available to you that cannot be lawfully excluded under applicable consumer protection law.

10. Indemnification

You agree to indemnify and hold harmless AI Ranking SpA, DataWise SEO, and Nicolas Gorrono from any claim, liability, or expense (including reasonable legal fees) arising from your misuse of the Service, breach of these Terms, or infringement of any third-party rights through your content or queries.

11. Termination

You may stop using the Service at any time by cancelling your Skool membership or by contacting us to delete your account. We may suspend or terminate your access for breach of these Terms, abusive behaviour, or at our discretion with reasonable notice. On termination, we will provide a reasonable window to export your data before deletion.

12. Changes to the Service and These Terms

We may add, modify, or remove features of the Service at any time without notice. We may also update these Terms; material changes will be announced by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Chile. The courts of Santiago, Chile have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. Before starting formal proceedings, you agree to first attempt to resolve the dispute informally by contacting [email protected].

14. Miscellaneous

These Terms are the entire agreement between you and DataWise regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our written consent.
